PRACTICE AREAS
CORPORATE
We assist individuals and businesses in connection with the organization and formation of corporations, partnerships, limited liability companies and other business entities. We also provide corporate counseling on day-to-day matters. Among other things, we advise on matters such as choice of business entity and choice of formation jurisdiction; preparation of organizational documents; drafting agreements between business founders; drafting and negotiating various financing arrangements; drafting and negotiating joint venture agreements with strategic partners as well as preparation of contracts with vendors and customers, agreements with consultants and employees. We work closely with our clients helping them to achieve their maximum potential and meet their business and legal objectives. Regardless of the size of the transaction, we strive to provide our clients with the highest level of service and commitment, deep analysis of legal issues, creative problem solving, and effective negotiations.
CORPORATE FINANCE
We assist business entities, investors, and lenders in planning, negotiating and closing various types of corporate finance arrangements such as friends and family financing, SBA loans, angel financing, venture capital and private equity financing, bank loans and venture debt financing ad equipment lease financing.
INTERNATIONAL TRANSACTIONS
ISWC Nowicki represents both U.S. and non-U.S. clients making investments in jurisdictions both in Europe and the United States. Whenever our clients are seeking to establish or expand their market presence in a foreign jurisdiction, acquire an existing foreign business or enter into a joint venture with a local partner, we have experience to assist them in navigating the legal and regulatory complexities of global finance, manufacturing and trade. We conduct the negotiations on behalf of our clients, advise them with regard to local law issues, and prepare the necessary transaction documents. Non-U.S. clients also seek our advice and assistance with regard to investing in or acquiring an U.S. enterprise, whether through a purchase of ownership interests or the direct acquisition of assets.
BANKRUPTCY AND FINANCIAL RESTRUCTURING
The firm’s bankruptcy and financial restructuring practice focuses on business and consumer bankruptcy and reorganization as well as business and loan workouts. We have substantial experience in representing creditors, debtors and troubled companies and debtors in Chapter 7, Chapter 11 and Chapter 13 bankruptcies.

REAL ESTATE
We provide commercial real estate services and have a very strong background of representing clients from many different areas, including individuals, investor groups and corporations involved in a variety of real estate acquisitions and sales. In addition, we represent builders and developers, assisting them with the purchase of undeveloped land, attaining zoning variances, preparing documents to facilitate the sale of a final product and obtaining financing for acquisitions and construction costs. We draft and negotiate long-term ground leases, draft right of way easements and utility easements, perform real estate due diligence, review, negotiate and draft office leases, review title commitments and surveys, assist with the removal of title encumbrances such as mortgages, municipal tax liens and agricultural tax liens, and draft and record notices of lease as well subordination and non-disturbance and subordinations agreements.

OUR ATTORNEYS

M. ERYK NOWICKI
Eryk is a Managing Partner at SWC Nowicki PC, Chicago, Illinois. He received a Master of Law Degree from University of Gdansk, Poland and a J.D. from the John Marshall Law School in Chicago. Eryk is admitted to practice law in Illinois and New York. He obtained extensive transactional experience with national law firms of White & Case LLP and Chapman & Cutler LLP. He represented commercial and institutional lenders in corporate finance and securities offerings, private equity securities transactions and domestic and international extensions of credits. He also represented the State Treasury of the Republic of Poland in its offering of US$ 1 billion principal amount of Notes in the US financial markets. Eryk also gained vast experience in bankruptcy and reorganization proceedings, representing bank groups, bondholders, equity holders, troubled companies and debtors in Chapter 7 and Chapter 11 bankruptcies. AGNIESZKA CENZARTOWICZ
Agnieszka is a Partner at SWC Group, Warsaw, Poland. She received Master of Law Degree from the Catholic University of Lublin, Poland and her LL.M. from Chicago-Kent College of Law. In 2004-2005, she was a Fulbright Scholar and senior research fellow Institute for Consumer Antitrust Studies at Loyola University, Chicago. Agnieszka serves as Adjunct Professor, Chicago-Kent College of Law, Executive Director of Project Poland (School of American Law in Poland) and Associate Editor of Emerging Markets: A Review of Legal and Business Issues. IGOR SOLODOVVNIK

Igor Solodovnik is a Managing Partner at SWC Group, Warsaw, Poland. Igor is a graduate of the National University of Internal Affairs in Kharkiv, Ukraine; he also holds an LL.M. degree from Chicago-Kent College of Law. He has being teaching legal courses at universities in Ukraine, USA and Poland since 1996. Igor provided trainings on Ukrainian law related issues for Polish judges and prosecutors. He interned with Polish Office of Competition and Customer Protection (UOKiK), Office for Electronic Communication (UKE) and Office for Commission of European Integration (UKiE). In addition, he acquired substantial experience working for an international real estate and investment company’He speaks Ukrainian, Russian, English, Polish and French; also he is proficient in Bulgarian.
